BESS, substation pad, and gen-tie easement title review in Texas
Even on a 2,000-acre solar project, the highest capital concentration sits on a 5-to-20-acre footprint: the project substation, the battery energy storage system (BESS) pad, the switchyard, and the gen-tie line to the point of interconnection. Title and mineral requirements on those pads are stricter than on the surrounding tracker blocks.
This is general landman reference material, not legal advice. Title insurance endorsements and statutory lease terms should be reviewed by your own counsel.
While tracker rows can often step around a pipeline easement or leave a 10-acre drill-site island in the corner of a section, a project substation, switchyard, or standalone battery energy storage system (BESS) pad cannot be relocated once built. Developers and transmission utilities frequently acquire the substation and switchyard footprint in fee simple (or under a dedicated pad lease with a fee-purchase option) rather than a general solar ground lease, which changes the applicable Texas title endorsement from the leasehold series (T-55 / T-55.2) to the fee-estate series (T-55.4 / T-55.5) and brings permanent-building mineral coverage (T-19.2 or T-19.3 alongside T-19.4) into focus. In addition, standalone or co-located battery storage agreements entered into on or after September 1, 2025 are subject to the removal, recycling, and 15-year financial assurance provisions of Texas Utilities Code Chapter 303 (see the Chapter 302 and 303 removal guide).
1Why substation and BESS pads require zero-surface-entry mineral clearance
On a 1,500-acre solar array, if a fractional mineral owner refuses to sign a waiver, the engineering team can sometimes adjust the tracker layout or rely on adjacent drill-site islands. On a 10-acre BESS or step-up substation pad housing main power transformers, switchgear buildings, and high-density battery enclosures, lenders and title underwriters typically require 100% mineral surface waivers (or unified fee-plus-mineral ownership) over the pad and its immediate setback perimeter before funding construction.
Running the mineral chain on the candidate substation and BESS parcels before locking the interconnection layout allows the developer to place the substation on the tract with unified minerals or the simplest mineral ownership list.
2Utility switchyard conveyances require unencumbered fee title
Under many ERCOT and SPP interconnection agreements, the developer must grade and convey a 3-to-10-acre switchyard parcel in fee simple to the transmission service provider (TSP). Transmission utilities have strict real estate standards for switchyard deeds:
- Full releases or partial releases of any landowner mortgages or deeds of trust covering the switchyard metes-and-bounds parcel.
- Subdivision platting compliance or statutory utility-tract exemptions in the county.
- Permanent all-weather access road easements from a dedicated public highway to the switchyard gate.
- Surface waivers from severed mineral owners so no well pad or tank battery can be staked inside the switchyard fence.
3Gen-tie transmission easements and crossing consents
When the solar array does not directly adjoin the point-of-interconnection substation, the project depends on a private high-voltage gen-tie easement across intervening ranches. Because a private solar project LLC does not hold eminent domain condemnation power in Texas, every foot of the gen-tie corridor must be acquired by voluntary negotiation:
| Corridor check | Why a single gap stops the line |
|---|---|
| 100% cotenant execution | In Texas, one undivided cotenant cannot grant a valid easement across commonly owned land without the joinder or ratification of the other cotenants. Every fractional surface owner on every crossed tract must sign. |
| Prior pipeline and transmission crossings | High-pressure gas pipelines and senior electric transmission easements often require formal crossing agreements or engineering encroachment consents before poles are set or underground cables are bored across their ROW. |
| Lienholder subordinations | If a crossed ranch has a prior mortgage, foreclosure of that mortgage could extinguish a junior gen-tie easement unless the lender signs a subordination or non-disturbance agreement. |
4Standalone BESS leases and Utilities Code Chapter 303
For standalone battery energy storage facility agreements entered into on or after September 1, 2025 (and solar agreements under Chapter 302 that also authorize a battery energy storage facility), Texas Utilities Code Chapter 303 establishes mandatory removal, foundation-clearing, recycling/disposal, and financial assurance provisions (with Chapter 303 counting its 15-year financial assurance delivery deadline from the battery operation date). For a side-by-side statutory reading of Chapters 302 and 303, see our Texas removal and financial assurance guide.
