Mineral title and heirship curative for utility-scale solar financing

Standard title company commitments stop at the surface estate and list all severed minerals as a blanket Schedule B exception. To reach financial close on a utility-scale solar project, developers need a full mineral ownership report and targeted courthouse curative on both the surface and mineral chains.

In one paragraph

When a title agency issues a preliminary title commitment for a Texas solar lease, it typically searches the surface chain back 30 to 50 years and drops a general exception into Schedule B for all prior mineral reservations and oil and gas leases. Tax-equity investors and construction lenders, however, want to know who actually owns the severed minerals, which oil and gas leases are held by production (HBP), and whether any surface cotenant or life-estate remainderman was left off the solar lease. Courthouse landmen bridge that gap by running the deed chain from patent (or the earliest mineral severance) to present, tabulating every surface and mineral owner's fractional interest in a Mineral Ownership Report (MOR), and executing the curative instruments (affidavits of heirship, probate recordings, lease ratifications, and releases of expired oil and gas leases) required by the title company.

1Why a preliminary title commitment does not list mineral owners

In Texas counties where minerals were severed in the 1920s through 1950s, a single 640-acre section can have 20 to 80 undivided mineral owners while the surface is owned by one ranching family. Title plants exclude severed mineral chains from standard surface commitments. Instead, Schedule B lists every recorded mineral deed and oil and gas lease by volume and page, leaving it to the solar developer's land team to determine which instruments still burden the tract and who holds the current executive and working interests.

2What goes into a solar Mineral Ownership Report (MOR)

ScheduleWhat it documents from the county records
Surface vesting & encumbrance chainEvery deed, probate, deed of trust, agricultural grazing lease, conservation easement, and pipeline or utility ROW affecting the surface estate.

3Surface title curative: heirs, trusts, and prior liens

A solar ground lease or option is only as good as the lessor's authority to sign. Common surface curative items we clear before construction financing include:

  • Unprobated estates and intestate heirs: Drafting and recording Texas Estates Code Chapter 203 Affidavits of Heirship signed by disinterested witnesses, or recording clerk-attested copies of out-of-county probate proceedings in the county where the land sits.
  • Undivided family cotenants and life estates: Obtaining lease joinders or ratifications from remaindermen and fractional family cotenants so 100% of the surface estate is bound for the full 30-to-40-year solar term.
  • Lender SNDAs and tenant subordinations: Securing Subordination, Non-Disturbance, and Attornment agreements from farm credit or bank mortgage holders, and surface subordinations from hunting or grazing tenants.

4Mineral curative: expired oil and gas leases and HBP checks

Schedule B of a preliminary title commitment often lists dozens of oil and gas leases from the 1940s through the 2010s that expired at the end of their primary terms without a recorded release. Rather than chasing defunct operators for waivers, we pull the Railroad Commission completion and production histories, prepare Non-Production Affidavits or obtain formal Releases of Oil and Gas Lease where required by the title underwriter, and narrow the waiver list to the actual living mineral owners and active HBP operators.
